The Legal Regulation of Corporate Governance in Iraqi Law An Analytical Study

Abstract
This research addresses the legal regulation of corporate governance in Iraqi law, which is a topic of great and importance in the modern business and economic world. Corporate governance aims to regulate relationships between various parties involved in the company, including shareholders, the board of directors, and executive management, to ensure transparency, accountability, and protection of all parties' rights. In Iraq, corporate governance regulation is subject to a set of laws and legislations. The main problem of the study lies in researching and analyzing the legal regulation of corporate governance in Iraqi law, in light of contemporary economic challenges and variables. The study seeks to determine the adequacy and clarity of legal provisions governing corporate governance, their consistency with international best practices and standards, and their ability to address shortcomings in current corporate governance practices in Iraq. The importance of this research lies in studying and analyzing the effectiveness of the legal regulation of corporate governance in Iraq in achieving its objectives, and its alignment with recent developments in this field at regional and international levels. The research also aims to provide suggestions and recommendations for developing and improving this regulation in line with the requirements of the economic and investment environment in Iraq. The study aims to define the concept of corporate governance and its importance, identify the legal framework for corporate governance in Iraq, analyze and study relevant legal provisions, reveal strengths and weaknesses in the legal regulation, evaluate the effectiveness of provisions related to boards of directors and protection of shareholders' rights, and assess the effectiveness of internal and external control mechanisms. The study relies on a mix of research methodologies, including the descriptive analytical method for studying and analyzing legal texts, the deductive method for deriving judgments and results specific to legal regulation, and the comparative method for comparing with legal regulations in other countries. Finally, the conclusion includes the most important findings and recommendations.
